Terms and Conditions

Effective Date: April 1st, 2026

 

These Terms and Conditions govern all services provided by AXIS TOPIA, LLC, a Delaware limited liability company (“Axis Topia,” “we,” “us,” or “our”). By purchasing or engaging in our services, you (“Client”) agree to the following terms.

1. Services

Rasine® provides website-related services, including:

  • Custom Wix website design

  • Wix landing page design

  • Website redesign

  • Wix website optimization

  • Website maintenance

  • Copywriting services

Services are offered through structured packages or custom scopes.

2. Payment Terms

  • A 50% non-refundable deposit is required to begin any project.

  • Full payment may be required depending on the service selected.

  • Payment plans may be offered at Rasine's discretion.

Payment Processing

  • Rasine uses Stripe as its primary secure payment processor.

  • By submitting payment, you agree to Stripe's terms and authorization policies.

Non-Payment

  • If a client fails to complete payment, ownership of the website and design remains with Rasine.

  • Rasine reserves the right to pause or terminate work due to missed payments.

Refund Policy

  • All payments are non-refundable once work has started.

  • No refunds will be issued after onboarding or project initiation.

3. Revisions & Scope

  • Projects include 2 to 4 revisions, depending on the package.

  • Additional revisions are billed separately.

  • Any work outside the agreed scope will be quoted and billed accordingly.

4. Project Timeline

  • Clients must complete the onboarding questionnaire within 7 business days.

  • The project begins only after all required materials are received.

Delays

  • If the client delays communication or the delivery of deliverables, the project may be moved to the end of the production schedule.

Inactive Projects

  • If there is no communication for 21 days, the project is marked as inactive ("dead").

  • A $97.99 revival fee, plus any applicable subscription costs, is required to restart.

5. Client Responsibilities

The client agrees to:

  • Provide all required content, branding, and assets in a timely manner

  • Ensure all materials submitted are accurate and legally owned

Rasine may provide stock images through Wix or assist with sourcing when needed.

6. Ownership & Portfolio Rights

  • The client receives full ownership of the website only after full payment is completed.

  • Rasine retains the right to display completed work in its portfolio, marketing materials, and case studies.

7. Wix & Third-Party Services

  • Clients are responsible for maintaining their own Wix account and subscription.

  • Rasine is not responsible for issues related to third-party platforms, plugins, integrations, or hosting.

8. Maintenance & Support

  • Rasine provides a 30-minute backend training session upon project completion.

  • Additional support is available through:

  • Booked sessions

  • Ongoing care membership

9. Cancellation & Termination

By Rasine

Rasine reserves the right to cancel a project at any time if:

  • The client is uncooperative

  • Communication becomes disrespectful

  • The project is no longer a good fit

By Client

  • Clients may cancel at least 24 hours before the onboarding session.

  • Once onboarding has started, no refunds will be issued.

If work has begun, cancellation results in no refund.

10. Communication Policy

  • All communication is conducted via email only.

  • Please allow 24 to 48 business hours for responses.

11. Business Hours

Rasine operates during the following hours:

  • Monday to Friday

  • 10:00 AM to 3:30 PM EST

Messages received outside business hours will be addressed on the next business day.

12. Confidentiality & Conduct

Non-Disclosure

Both parties agree to keep confidential information private and not disclose it to third parties.

Social Media Conduct

  • We love seeing our clients win, but professional boundaries are essential. Under no circumstances are private project communications to be shared, screenshotted, or discussed on social media or any public platform.

  • Clients agree not to post false, misleading, or damaging statements about Rasine.

  • Concerns must be addressed directly via email.

Violation

  • Violation of this section may result in immediate project termination without refund.

  • Rasine reserves the right to pursue legal action if necessary.

13. Accessibility Statement

Rasine aims to design websites using recognized accessibility best practices, including structure, readability, and usability.

However:

  • Full compliance with accessibility standards (including WCAG) is not guaranteed unless explicitly included in the project scope.

  • Ongoing compliance is the website owner's responsibility after project delivery.

14. Card Authorization

Rasine reserves the right to request completion of a Credit/Debit Card Authorization Form before starting work.

  • This ensures secure billing and confirms project commitment.

  • Legal Entity: All official contracts and documentation are issued under our legal business name: AXIS TOPIA LLC.

15. Limitation of Liability

Raine is not liable for:

  • Website downtime or hosting issues

  • Content Delivery & Compliance

  • SEO performance or ranking results

  • Third-party platform failures

  • Loss of data, revenue, or business opportunities

  • Account suspensions or website closures

  • Fees & Subscriptions

All services are provided “as is” without guarantees of specific results.

 

16. Indemnification

The client agrees to indemnify and hold Rasine harmless from any claims arising from:

  • Content provided by the client

  • Use of the website

  • Legal or copyright issues tied to client materials

17. Force Majeure

Rasine is not liable for delays or failure to perform services due to events beyond its control, including but not limited to:

  • Natural disasters

  • Power outages

  • Internet or service disruptions

  • Government actions

  • Illness or emergencies

Project timelines may be adjusted accordingly.

18. Dispute Resolution

  • Any disputes must first be addressed through good-faith communication via email.

  • If unresolved, disputes will be handled through mediation before legal action is taken.

  • Legal proceedings, if necessary, will be governed under the laws of Delaware and Florida.

19. Governing Law

These Terms are governed by the laws of:

  • The State of Delaware

  • The State of Florida

20. Modifications

Rasine reserves the right to update these Terms at any time. Continued use of services implies acceptance of any updates.

21. Agreement

By engaging Rasine’s services, the client confirms they have read, understood, and agreed to these Terms and Conditions.
